COMPANY DOMICILIATION AND CERTIFIED ELETRONIC ADDRESS (PEC)
Provision of the legal seat and electronic legal seat
1. SERVICE DESCRIPTION
Our Company Domiciliation and Certified Electronic Address (PEC) Service provides businesses with a fully compliant legal registered office in Italy, together with the activation and ongoing management of a Posta Elettronica Certificata (PEC) address, which constitutes the official electronic legal domicile required under Italian law.
The primary objective is to ensure that the company maintains a lawful and operational registered presence in Italy, satisfying all registration requirements with the Chamber of Commerce (Registro delle Imprese) and the Italian Revenue Agency (Agenzia delle Entrate), while also guaranteeing the timely receipt and management of all official and legally binding electronic communications delivered via PEC.
The service encompasses several key activities:
- Provision of a Legal Registered Office (Sede Legale): making available a professional address for use as the company’s official registered seat for all statutory, fiscal, and administrative purposes;
- PEC Activation and Management: setting up and maintaining a certified electronic mail address with an accredited provider (gestore abilitato) and registering it in all relevant public indexes and company registers;
- Mail and Communications Handling: receipt, scanning, and prompt forwarding of all official correspondence and judicial or administrative notices delivered to the registered address;
- Regulatory Compliance Support: assisting with the registration and updating of domiciliation details in public registers, including the Chamber of Commerce and the tax registry.
This service is particularly suited for foreign companies establishing a presence in Italy, newly incorporated entities, and any organisation that requires a compliant and professionally managed registered seat without the need for dedicated physical office space.

3. REQUIREMENTS AND DEADLINES
Adherence to the statutory obligations relating to the registered seat and the PEC address is mandatory under Italian law. Failure to maintain either of these in an active and valid status can result in administrative sanctions, loss of good standing with public authorities, and exposure to legal risks arising from missed official communications.
The service meticulously manages the following key regulatory obligations and deadlines:
- PEC obligation for companies: all Italian limited liability companies (S.r.l.), joint-stock companies (S.p.A.), partnerships (s.n.c., s.a.s.), and other corporate entities are required by law to hold and maintain an active PEC address registered in the Registro delle Imprese, pursuant to Legislative Decree no. 82/2005 (Digital Administration Code) and subsequent amendments;
- PEC annual renewal: the PEC subscription must be renewed annually before its expiry date to ensure uninterrupted legal validity and avoid deregistration from the INI-PEC public index;
- Change of registered seat: any modification to the company’s registered address must be filed with the Chamber of Commerce and updated in the tax registry within the statutory deadlines, generally within 30 days of the effective date of the change;
To mitigate compliance risks, DGTAX issues automatic reminders well in advance of all renewal and filing deadlines, guaranteeing continuity of the service and full regulatory standing of the company at all times.
4. WHAT THE CUSTOMER SHOULD DO
To ensure the seamless and accurate execution of the service, the client is required to provide the following documentation and to take the following actions:
- Complete company documentation: provision of the constitutive deed, articles of association, certificate of incorporation (where applicable), tax identification code (codice fiscale), and VAT number (partita IVA), as required for registration and domiciliation purposes;
- Identity documents of the legal representative: certified identification documents and, where applicable, powers of attorney for the authorised signatories acting on behalf of the company;
- Notification of corporate changes: prompt communication to DGTAX of any changes to the company’s corporate structure, legal representative, shareholders, or any other information relevant to the domiciliation arrangement or the PEC registration;
- Timely response to communications: upon notification by DGTAX of official communications received via PEC or physical mail, the client must promptly review the content and provide any necessary instructions, particularly where statutory response deadlines apply.
The timely and organised delivery of this information enables DGTAX to guarantee full compliance with all domiciliation and electronic communication obligations and to ensure that no official communication goes undetected or unanswered.
5. WHAT WE DO
DGTAX makes its professional premises available as the company’s official registered seat, issues a formal domiciliation agreement in compliance with Italian civil and commercial law, and coordinates all necessary registrations and updates with the Chamber of Commerce and the Agenzia delle Entrate.
We manage the activation of the PEC address with an accredited provider, handle its registration in the INI-PEC public index and in the Registro delle Imprese, and ensure ongoing monitoring of the inbox on a daily basis. All incoming certified messages are notified to the client without delay, and all delivery receipts and acceptance notices (ricevute di accettazione e di consegna) are systematically archived.
Our dedicated team handles all physical correspondence received at the registered address, scans and forwards it to the client in real time, and flags any communications requiring urgent attention or a formal statutory response.
Finally, we offer constant support in the event of inspections, administrative proceedings, or any official inquiry addressed to the company’s registered seat or transmitted via PEC by public authorities, courts, or regulatory bodies.
6. Outputs PROVIDED
Our clients receive the following key documents and reports as part of the service:
- A signed domiciliation agreement (contratto di domiciliazione), constituting formal legal evidence of the registered seat arrangement;
- Confirmation of PEC activation, including the certified electronic address details and the registration receipt issued by the accredited provider;
- Digital copies of all official communications received, both via PEC (including delivery and acceptance receipts) and by physical mail (scanned and transmitted in PDF format);
- Confirmation receipts of all filings submitted to the Chamber of Commerce and the tax registry relating to the registered seat or PEC address;
7. NOTES AND RECOMMENDATIONS
It is crucial to ensure that the PEC address is actively monitored and that any official communications received are reviewed promptly. Under Italian law, communications delivered to a registered PEC address are legally deemed to have been received by the addressee, regardless of whether they have actually been read. Delayed responses can result in forfeiture of rights or exposure to administrative penalties and legal proceedings.
We strongly advise maintaining a constant and open channel of communication with DGTAX to ensure that any change in corporate structure, legal representative, or registered details is reported immediately, so that the necessary updates to public registers can be executed within the statutory deadlines.
Foreign companies and non-resident entities are reminded that the domiciliation address cannot be used as a substitute for a permanent establishment (stabile organizzazione) for tax purposes. Where business activities carried out in Italy may give rise to a permanent establishment, a separate tax and legal assessment should be conducted jointly with the firm.
Ultimately, an orderly and proactive management of the registered seat and the PEC address ensures both full legal compliance and effective protection of the company’s interests in all dealings with Italian public authorities, courts, and counterparties.
